Addendum in the Digital Contracts module

Settings -> Clause Types -> Contract Categories -> Approval Flows -> Entities -> Vendor Categories -> Vendors -> Clause Libraries -> Contract Types -> Contracts -> Addendum


The Addendum screen is used to create and manage the Addendums of a Contract.

1. Add Addendum

Select the Add Addendum function available on the screen -> Proceed to enter the necessary data. 


*Explanation:

Select the Contract related to the Addendum.

The Approval Flow data will automatically display according to the Approval Flow of the Contract.


2. View  Addendum Information

Select the Name of the corresponding Addendum you want to view.

2.1. Summary

The Summary tab will display the Addendum's information.



2.2. Addendum

The Addendum tab is used to design the content of the Addendum. 



2.3. Approval

The Approval tab is used to display the list of employees approving the Addendum and shows the Activity history when an employee approves.

If the Approval Flow allows selecting the approving employee, a function will appear so the user can select the approver.

If the Addendum's effective date is equal to or earlier than the approval date, the Addendum cannot be approved.

Once approvers are set, select the “Send approval request” function to send an email notification for approval to the employees.

The employee responsible for approval will receive a notification email and can approve the Addendum.

After approval is complete, the Addendum status will change to Active.

If the employee Rejects the Addendum, it will change to Pending. The “Send approval request” function will reappear so you can send a new approval request to the employee after making edits to the Contract/Addendum.



2.4. Signature

The Signature tab is used to select the employee who signs the Addendum.

Select the Add Representative function to choose the employee. For the counterparty, you can send the Addendum link so they can sign (Note: the counterparty can only designate one person to sign the Addendum).

Once the Addendum has been fully signed, it will be marked as Signed. 


*Explanation (Signature):

The Notify Through Email function is used to send an email to the employee. The email template is set up in the Email templates screen of Setup, or you can enter the email content in the Message section.


2.5. Revisions

The Revisions tab is used to manage the Addendum's versions. Whenever the Addendum information or content is edited, the system saves it as a new version.

The Restore function is used to revert to your desired Addendum version. Before restoring, you can preview the PDF to check if the Addendum content matches your desired restoration.

Note: If the Addendum has been fully signed, the Addendum version cannot be Restored. 



2.6. Attachments

The Attachments tab is used to manage the Addendum's related files. If you uploaded files when creating the Addendum, they will also be stored here.

The Visible to Customer function is used to allow the file to be displayed to the counterparty. When the counterparty signs the Addendum, they can see these attached files.



2.7. Activity

The Activity tab is used to display the history of actions performed on the Addendum, such as creation, editing, approval, signing, restoring, etc.



3. View Addendum Content without Login

Select the View function corresponding to the contract/addendum whose content you need to view according to the counterparty's role.

The counterparty can sign the contract on this screen. The signature will also be stored.
